Terms of Sale
Welcome to Agrotw Commodities Ltd. These Terms of Sale govern the sale of chemical products ("Products") by Agrotw Commodities Ltd to you ("Customer"). By placing an order with us, you agree to be bound by these terms.

2. Wholesale Bulk Only
Agrotw Commodities Ltd sells its Products wholesale in bulk to business customers, including end users and distributors.
3. Price and Currency
3.1 Price: Unless otherwise specified in the Sales Contract (S/C), all prices are net and exclusive of Value Added Tax (VAT), import customs duties/tariffs, and other applicable taxes or charges. Prices are quoted in USD.
3.2 Price Terms: Price indications and lists are subject to change according to market conditions. We follow INCOTERMS 2000 for price terms such as FOB, CFR, and CIF.
4. Order Approval
No order is binding on us until you receive a Sales Contract (S/C) or written acknowledgment from us accepting the order. Changes to orders after acceptance are subject to our approval and may require adjustments to pricing and delivery terms.
5. Payment
Payment terms are T/T in advance or irrevocable, transferable, documentary Letter of Credit (L/C) at sight. Orders under USD 50,000.00 must be paid by T/T 15 days before shipment. We reserve the right to revoke credit extended if payment terms are not met.
6. Insurance
We cover All Risks for insured goods. Additional risk premiums, if required, are borne by the buyer unless otherwise agreed. Insurance terms (FOB, CFR, CIF) and premiums are detailed in our sales documentation.
7. Representations and Fitness for Purpose
All representations, warranties, and implied terms or conditions regarding the Goods are excluded to the extent permitted by law. Customers are responsible for verifying the suitability of Products for their intended use.
8. Product Quality, Quantity, and Discrepancy Claims
Customers must inspect goods upon arrival and file quality or quantity discrepancy claims within specified timelines. We act as a supplier; no warranties are provided unless expressly agreed in writing.
9. Shipment/Delivery
Products are delivered FOB port Agrotw Commodities Ltd's shipping point unless otherwise specified. Customers bear risk of loss or damage during transit. We strive to meet delivery schedules but reserve the right for partial shipments and delay under Force Majeure conditions.
10. Force Majeure
We are not liable for failure to perform due to circumstances beyond our control. We notify customers of delays and make reasonable efforts to mitigate impacts.
11. Dispute Resolution
Disputes are resolved through amicable negotiation. Any unresolved disputes are subject to arbitration under UNCITRAL Arbitration Rules administered by the Hong Kong International Arbitration Centre (HKIAC).
12. Intellectual Property
Customers acknowledge no ownership interest in our intellectual property, including trademarks and patents.
